Declaration of Owners - APRIL Yearly corporate requirements - D195 - Declaración Informativa de personas Jurídicas Inactivas - Hacienda ATV

Every year, corporations without activity must submit a 'Declaración Informativa de personas Jurídicas  Inactivas (D-195)' via the Treasury's / Hacienda's online platform “Administración Tributaria Virtual” (ATV).


You will need.

  • Número de Identificación Tributario Especial (NITE). This is a special tax payer number assigned to foreigners.
  • Access to the ATV (ie the Administracion Tributaria Virtual) https://atv.hacienda.go.cr/ATV/login.aspx to submit the declaration within the narrow window of dates from 1st to 30th April each year. (The ATV is the website of the government's revenue department.). This due date is a 'plazo perentorio' which means that it is fixed for ALL corporations, regardless of their financial period or other unique details. Your user name will be your NITE (mentioned above)

Steps.
  1. Log in to the ATV site https://atv.hacienda.go.cr/ATV/login.aspx 
    1. Use your NITE as your username
    2. Enter your password as usual. You will be prompted for a second passcode. For this, use the tarjeta inteligente virtual (TIV). It is a set of codes that are answers that correspond to random questions. 
      1. If someone else like an accountant is going to access your account on your behalf, they can request a temporary key. They can expect a real human response to the request for a temporary replacement within an hour, even on Saturdays, ie in addition to weekday. They should write an email as follows. 
        • To: infoyasistencia@hacienda.go.cr 
        • Subject: Favor gestionar clave temporal ATV
        • Body: Lo solicitado.
        • Attachment: a copy of the first page of your passport or DIMEX (local identification card) to the email.
  2. If you are having trouble understanding how to proceed, as at 2023, you can use the live chat facility on the webpage https://infoyasistencia.hacienda.go.cr/ 
    • For human attention, you have to actively request this because the chat window is by default a bot. Use the sliding tool inside of the welcoming message to slide through the options to find 'human attendant'
  3. Tipo de perfil: "representante legal' (because you are the legal representative of your business) NOT 'obligado tributario". The name and registration number should appear in a row below your selection.
  4. If an error message that you are not currently registered with the 'Registro Unico Tributario', You likely logged in incorrectly as 'obligado tributario'. See previous step.
  5. Double click on the avatar icon to select the row with the profile details of your corporation.
  6. Informativas (top menu) > Presentar Declaraciones Informativas > D-195 Declaración Informativa de personas Jurídicas Inactivas > [year for which you are submitting the form (It should appear in a drop down menu).]
  7. Complete the form as follows. (Some details will autofill the form like name of corporation, registration number and year).
    • Reason for no commercial activity "Indique la razón o las razones por las cuales la persona jurídica no tiene actividades lucrativas”: You can select multiple of the preset reasons.
      • Titular (tenedora) de bienes inscribibles (Registro Nacional)
      • Titular (tenedora) de bienes no inscribibles
      • Negocios y otros propósitos futuros
      • Persona jurídica con operaciones y/o bienes, únicamente en el extranjero-ro (no realiza actividades sujetas en Costa Rica)
      • Pendiente de disolución o liquidación
      • Otros (especifique). (Ejemplo: En proceso sucesorio, problemas personales
    • Assets. For the following questions, many foreigners prefer to say 'no', especially if the organization has no commercial activity. Many foreigners use the corporation only for convenience sake, like to have the phone payment app called Sinpe Movil for which they would never qualify ordinarily. They may be using Sinpe Movil only for personal groceries, have very low balances of no more than a few hundred dollars in those accounts for instance. Keep in mind that these questions are designed to signal to the Treasury Department aka 'Hacienda' what they need to investigate to see how they could charge taxes. If you are using these bank accounts and other assets (cars, etc in the corporation's name) in this way, you might select to do the same, ie answer 'no; to all of the questions. This may even also be the case if you have already registered a brand with the Registro Nacional but have never used it and have no foreseeable or immediate plans to use it.
      • Does the business hold brands "marcas", patents "patentes", property "bienes muebles y inmuebles", "bienes inmuebles no inscritos", "bienes no inscribibles"etc?
    • Identification details of physical people or 'personas jurídicas' (ie legal entities like corporations) that handle the expenses and obligations of the corporation. 
      • Type of ID: NITE
      • ID number: Enter your NITE. 
      • The name of the physical person (Jane Does) or entity (Accounting_firm_A): This should automatically fill in IF the ID number is entered correctly. However, in 2023, the webpage had a bug. The last 2 digits that appeared on your initial NITE award letter will automatically populate ONLY if you do not type them in but click outside of the field. The system will not automatically generate the name if you try to type in those 2 last numbers yourself.
      • Amount: This form may be submitted even with a value of CRC 0.
    • Click 'Add line'. The instructions that pop up when you roll your mouse over the button were misleading in 2023. They suggest that you use the button only if you wish to add a second person or entity. However, regardless of whether you wish to have only one person, you must click 'add line' as the only means of advancing through the process. 
    • Click 'Validar'. The button will work only after each set of profile details from the previous question appears as a row directly below that previous question.

Dealing with Costa RIca corporations while unable to act yourself

This post discusses your options and requirements if you have a Costa Rica corporation, will leave be unable to personally act for your corporation and are unsure of your options for dealing with the corporation. The inability to act for your corporation may arise through leaving the country, illness and so on. This post will assume that your corporation has 'no activity' (ie one that you likely have only for the sake of land ownership or the like). Your best option likely depends on considering 2 things 1) your level of certainty regarding if you will ever want to use the corporation again and 2) your level of or ability to trust in lawyers at your disposal (if you want to keep the corporation while in a foreign country).


STEP 1: Your level of certainty regarding if you will ever want to use the corporation in the future.

Option 1: Dissolve the corporation legally

This option will require you to arrange for processes similar to those when first registering the corporation. Consequently, you are likely to require a lawyer, especially one who is a notary. 

Benefits

  • The corporation will be completely dead. You will therefore not need to meet any of the yearly requirements (listed below), even those that apply to corporations with no activity. 

Disadvantages

  • You may need to hire a lawyer. CK
  • It is likely the most costly option overall.


Option 2: Dissolve the corporation through abandonment

As the name suggests, you can literally abandon all responsibilities like a bad parent to a baby; never committing to even minimum yearly requirements  (listed below). Eventually, more specifically, after 3 years, the corporation naturally 'dies' or ceases to exist. However, if you choose to revive the corporation, you will need to pay a fine for unpaid fees in accordance with the D195 'Declaración Informativa'. The fees are calculated based on the current minimum annual wage for each year of abandonment. I think this fine applies for up to a maximum of 3 years. As at early 2023, the minimum yearly wage is CRC 480,000. On that basis, the fee after 3 years will equal CRC 480,000 by 3.

Benefits

  • You do NOT need to hire a lawyer.
  • If you are certain that you will never again want to use the corporation, this is the cheapest approach. (Beware, there are fines if you change your mind and choose to use the corporation years afterwards). 

Disadvantages

  • If you change your mind later and want to revive the corporation, you must pay the fine (discussed in the introduction of this section).


STEP 2: Your level of trust or ability to trust a lawyer at your disposal (if you keep the corporation while unable to act on your own).

This step applies if you select option 2 above, ie to continue meeting the yearly obligations of the corporation despite your personal inability to do so. In this case, you will need to hire a trusted lawyer to act on your behalf under a power of attorney agreement. Request a 'Poder Generalísimo', ie a general power of attorney and make the necessary arrangements for that person to act on your behalf.

  1. Find a lawyer that you trust to take 'Poder Generalísimo', ie power of attorney. This classification of power of attorney is the most expansive form of Power of Attorney (under Costa Rica's Civil Code 1253). It automatically allows the lawyer to act entirely on your behalf. In other words, it is somewhat unlike the US laws that allow you to specify aspects of control (like real property transactions, banking or other financial transactions, business operations, tax matters, etc). Don't worry, you can create limitations if you want but will need to expressly state them.
  2. Go to a notary lawyer to prepare the formal record for the Registro Nacional that explains the agreement between your corporation (or you as a person), the 'grantor' aka 'poderante' and the lawyer as the 'agent' aka 'apoderado'. The record will explain that you as the grantor confers legal authority on the agent to act on your behalf. Notice the difference between you and your corporation as grantors. If the corporation is the grantor, the power is limited to the corporation (and not your personal affairs or property). Conversely, if you make your personal self the grantor, the agent will be able to act on behalf of not only the corporation but you personally because the corporation is one of your possessions. 
    1. Optional. Expressly specify any limitations to the agent's power. Remember; the law grants automatic unlimited power otherwise. Example(s): real property transactions, tangible personal property transactions, banking or other financial institution transactions, business operating transactions, tax matters, personal & family maintenance, judicial processes, execute contractual or legal acts
  3. Submit to that lawyer / agent everything that he or she needs to complete the tasks under his or her control. This includes legal documents for safe keeping. Example(s)
    1. registration books
    2. documents related to ownership
    3. access (electronic or otherwise) to everything that the lawyer will need to complete the tasks
  4. Establish payment methods between the lawyer and yourself

How to register a brandname in Costa Rica

In Costa Rica, you can complete brand name registration without a lawyer in the following ways. 

  • In person at the office in the capital (address at the bottom of the page) OR via email
  • Payment: 
    • Banco de Costa Rica (even when proceeding by email), any bank teller (NOT the 'plataforma' - or -
    • Online IF you have an account with Banco de Costa Rica

Before proceeding, here are some preliminary steps to take, even if you are getting the help of a lawyer. The current costs are included in the footnotes of the application form. Up until the end of 2022, the cost was roughly:
  • USD 50 per trademark (brand name) per Nice classification number (based on the current exchange rate as advertised by the Banco de Costa Rica)
  • ¢20 for National archive stamp duties (timbres de Archivo Nacional)


STEP 1: Research Names LOCALLY (at the local registry).
While you may proceed with this step as follows, you may also ask an attendant at the Registro Nacional for help in doublechecking the availability of the trademark. Some persons may do a preliminary search to save you the trouble of having your application rejected. However, regardless of where you are in the world, it is often said that the results of preliminary research can never guarantee the success of your application.
      • In Person ('presencialmente' in Spanish) & via Telephone.
        • Go into any of their offices (usually housed in the same buildings as the Banco do Costa Rica / BCR) in person in order to have more access to their database than is possible online. Otherwise or at least during the Covid-19 pandemic, you may request that a phone attendant check certain brand nanes and business names. Part of the reason that you must check the local Registro Nacional database is that, some names may not appear otherwise because they are in some type of process to become used or available again to the public. I found the office stressed that applicants should do the preliminary search themselves. For instance, they speak of offering applicants the tools and help to perform the searches themselves. This may be an attempt to distance themselves from potential conflict as there might be some gray areas regarding interpretation of whether a name is similar or the same to other names.
      • Online. [This might no longer be available outside of pandemic-type of circumstances.] Create an account with the Registro Nacional and or login. (If creating an account for the first time, select 'Registrarse por Primera Vez' / which means 'First time registration'. (top left corner of the screen) to complete the registration form.) Once registered, return to the page and follow these steps. (This applies only for brandnames. For business names; It is uncertain whether the search can be completed online).
        • 'Inicio'
        • Enter your login account details and click 'Ingresar'
        • 'Sistema de Certificaciones & Consultas Gratuitas' (Menu on top left corner of the screen)
        • 'Consultas Gratuitas' (Menu on left side of the screen)
        • (Bottom of page in the 'Propiedad Industrial' section), select 'Consulta de Marca'
        • In the 'Tipo de Consulta' menu, select 'por nombre del titular'. 
        • Enter the name you are researching.
        • BEWARE. Doing this search alone at home is not very reliable because some brandnames may exist but not appear for one reason or other. If possible, it is better to go to the office in person for better access to their database.

    STEP 2: Research Names INTERNATIONALLY.

    STEP 2b: Request guidance if you are uncertain whether another registration may be too close to yours.

    STEP 3: Request the steps of the current registration process.
          • Call or visit to ask the Intellectual Property branch of the Registro Nacional for their current steps by email for protecting a new brandname or commercial name.
            • Direct line for the department: 2202-0623 / 2202-0746 from Monday to Friday between 8:00 am and 3:30 pm. (Although not advisable to call them first, this other department can help if you are unable to get through: 2202-0888). 
            • Operator: 2202-0800. If you have trouble getting through to these numbers, ask the operator to transfer your call. 
            • For questions about the process.
              • If you have questions about the process, email registration coordinators via coordinadormarcas@rnp.go.cr or consultasrpi@rnp.go.cr
            • For questions about compliance or other more technical questions 
            • Forms.
          • Go to Banco de Costa Rica (BCR) to make payments for the relevant stamps. Carry 
            • the updated 'personería jurídica'. This can be updated online with a 15-day validity period.
            • Completed downloadable application form(See sample of a completed form below)
          • Await the approval notice over a period of roughly 10 working days.
          • When you receive the approval, you need to post 3 edicts (ie official proclamations) in the government gazette (La Gaceta, ie the publication that makes public or legal notices).

        STEP 4: Complete the application form RPI-01 for a brand name registration applications (ie "solicitud de marca"). BTW, this form only allows for the registration of brand names and not other brand elements, like marketing codes. For instance, if you have special codes like letters or numbers to help consumers self segment themselves, the Ministry of Health will need to give you a certificate for that.
        Just to reiterate, registering the brand name is possible online (unlike the case of registering a business name, which must be done in person).

          1. Physically go to any Banco de Costa Rica. Go to the teller / cashier, NOT the plataforma (since, as at late 2022, the plataforma no longer performs this type of task). Tell the cashier the following or write in down and show it to him or her. This alone should suffice for a sufficiently experienced teller. An inexperienced teller may request an account number. However, one is not required. Their systems are equipped for fixed-fee payments for specific purposes called 'Tasaciones, Montos fijos'.

            5. Open the 'ACTO' tab and choose the option you require, like 'Inscripción; (for new registrations., 'renovación' for renewals, etc.
            6. In the Stamp number field, enter 1 (one) (which refers to the National Registry Stamp).
            7. In the MONTO box, indicate the amount in colones converted from Dollars to Colones using the current exchange rate, as per Banco de Costa Rica.
            8. Click on CALCULAR, then “AQUI”. 

              For the 'timbre', ie the stamp duty (2 of 2 payments)

            1. 'TASACIONES' (upper right part of the screen).
            2. 'MONTOS FIJOS' in the 'tasaciones' menu (left of the screen).
            3. Open the 'REGISTRO' tab and choose 'MARCA COMERCIAL
            4. Open the 'ACTO' tab and choose 'CERTIFICACION DE MARCA' (the variation from the first payment above).
            5. In the Stamp number field, enter 6 (ie six) (which refers to the  'timbre archivo').
            6. In the MONTO box, indicate the amount of CRC 20.
            7. Click on CALCULAR, then “PAGAR”.


          STEP 6: Submit the completed form along with proof of paymentOptions include the following.

          • Physically go into the main Intellectual Property office or a division within any Registro Nacional office (usually inside of a Banco de Costa Rica building)  - or -
          • Send an email (recepcionrpi01@rnp.go.cr) with these documents attached. The email can read as follows. Notice that documents should be sent in PDF format. Your application will likely be considered 'no recibido' (not received) if all documents, including receipts are not scanned and sent as PDF files.

          Step 6b: The IP office's response: Within a few days, you will receive a response by email like this.





          Here is a rough explanation and partial translation of what the edict says. Despite the process being incomplete, you can now legally defend this brandname with the backing of the registry for 2 months after the date of this edict. However, accompanying elements (graphic art for instance) are not covered in this provision of protection.


          Step 7: Respond to the edict: Within roughly 10 days, you will receive an edict (ie an official instruction) to submit your application to the Imprenta Nacional (the national printery that prepares official trustworthy government documents like passports, etc to prevent fraud). You can proceed with this immediately.
          NB. In the event that you miss this or your final deadline, you will receive 'resolucions you can repeat step 5, ie to pay for your application. However, you can proceed without needing to repay the USD 50 payment for the Nice classification but will need to repay the nominal stamp duty (of CRC 20). To this end, in the signature section of the new application form, type the following text. "Favor utilizar el entero bancario aportado en el expediente [ENTER YOUR EXPEDIENTE (IE CASE NUMBER)]" and show it to the cashier in reference to the note (above) regarding the 'solicitud de inscripción de marca de USD 50'.


          Step 8: If the name is rejected: If the Registro Nacional has some objections to your proposed name, you will receive the following cover note by email. It checks the 'Prevención' box. You will also receive an attached document that explains the type and reason for the objection. 


          Common reasons are that your proposed brand name is: 
          • too descriptive of the brand promise or objective. For instance, if you make hand cream, the brand name 'healthy hands' would be unacceptable because it would be considered too 'descriptive' or making promises of the results (versus simply being a name). 
          • misleading. For instance, 'creamy fingers' or 'luscious fingers' may be misconstrued as edible, even though you have named the part of the body to which the product applies.

          Your option(s):
          • Write a letter asking that they file away your request. If you do this, you can return to the process with a new name at your leisure, even years afterwards. In fact, you can even restate your file number (expediente) to avoid having to pay again for the Nice registration. The following statement will likely work for this purpose. "Favor utilizar el entero bancario aportado en el expediente [ENTER YOUR EXPEDIENTE (IE CASE NUMBER)]"

          D101 - MARCH Yearly corporate requirements - Costa Rica corporations declaration of ownership & assets to Revenue Department

          Costa Rica-based corporations declare their 1) owners and 2) assets to the Ministerio de Hacienda (Treasure Department) on a yearly basis. This rule now applies to ALL corporations, regardless of whether commercially active or not. 

          To put this into perspective, corporations were previously classified as being either 'active' or 'inactive' regarding commercial activity. Only 'active' corporations needed to comply with this rule. Consequently, the other corporations (often owned by foreigners) for the sole purpose of holding real estate or other property were considered 'inactive' and therefore did not need to make yearly declarations. However, the classifications have changed. Specifically, erstwhile 'inactive' corporations are now considered more as corporations 'without activity' and must now make annual declarations, even if to merely reflect '0' balances. Here are some basic details of this requirement.

          The D101 form is used for this declaration to the treasury department. For clarity sake, this D101 form should not be confused with the similar declaration of owners (ie 'registro de accionistas') required yearly by the Central Bank of Costa Rica. While this D101 form requires you to declare not only ownership but, when applicable, also details about your corporation's assets (like property ownership and bank accounts), the Central Bank only needs the declaration of owners.


          You will need.

          • knowledge of 'total capital social' associated with your 'acciones' / shares (in your corporation) or quotas / 'cuotas' (in your LLC known in Costa Rica as a 'Sociedad de responsibilidad limitada' / SRL)
            • You will find this number in the field 'capital social' in the document named 'solicitud inscripción sociedad' (ie corporation registration application) or the 'Cantidad Titulos' field in the Personería Jurídica.
          • ID number: Número de Identificación Tributario Especial (NITE). The Treasury department will have assigned this special tax payer number to you if you are a foreigner or Costa Rica cedula number. 
          • Access to the ATV (ie the Administracion Tributaria Virtual). The ATV is the website of the government's revenue department.). This due date is a 'plazo perentorio' which means that it is fixed for ALL corporations, regardless of their financial period or other unique details.
            • 2 passwords to the ATV. The first is your creation. The second password is issued in the form of a 'tarjeta inteligente Virtual / TIV'. It comprises a grid of randomly generated codes that are assigned to each letter of the alphabet. Each time that you log in, you will be prompted to enter the codes that correspond with a random set of letters from the alphabet.
              • If you lose your password, you can click the button below the username and password fields to generate a new password. The system automatically generates a new TIV.
              • Failing the above, if you lose your password during the narrow submission window, you can expect a real human response to a request for a temporary replacement within an hour, even on Saturdays, ie in addition to weekday. Write an email as follows. 
                • To: clave@hacienda.go.cr. 
                • Subject: Favor gestionar clave temporal ATV
                • Body: Lo solicitado.
                • Attachment: a copy of the first page of your passport or DIMEX (local identification card) to the email.


          Steps

          1. Do the following before the deadline of 15 March
          2. ATV website https://www.hacienda.go.cr/ATV/login.aspx 
          3. Enter your NITE
          4. Select 'representante legal' when asked how you wish to act
          5. Select
            1. Declaraciones 
            2. Presentar declaracion de impuestos
          6.  Select 'Formulario' and specify '101' and the period. In some cases, if the corporation has multiple years for which the declaration is due, select the more recent. By so doing, you will automatically cancel the previous year.
          7. Select 'Llenar formulario' and complete the declaration form
          8. Enter relevant details in section 'Activos & Pasivos'. For corporations without activity, the only line to be entered is 21.
            1. Line 21: In the event of a corporation without activity, enter the number that exists in the 'total capital social' field in the 'capital social' section of the solicitud inscripcion sociedad'  or 'registro de cotistas' in the front of your corporation's legal books.
          9. Select: Validar, Presentary y Aceptar.
